License Agreement
GuestBridge Express Software License Agreement 1. Parties This Software License Agreement (the “Agreement”) is made by and between GuestBridge, Inc., a Texas corporation having its principal offices at 152 W. Wisconsin Ave., Suite 200, Milwaukee, WI 53203 USA (“Developer”), and the Customer. 2. Recitals WHEREAS, Developer has designed and developed proprietary software, including the related documentation and optional per-use or add-on items, collectively known as “GuestBridge Express”. WHEREAS, Customer operates the venue(s) specified in the GuestBridge Express Sign Up form, and WHEREAS, both parties desire that Customer use the Licensed Program; NOW THEREFORE, the parties agree as follows: 3. Grant Developer grants Customer one personal, non-transferable and non-exclusive license (“License”) to use the object code version of the Licensed Program for each Location identified in the GuestBridge Express Sign Up form for the term specified in Paragraph 4. Developer shall provide to Customer online access to the current commercially released version of GuestBridge Express. 4. Term Customer’s License for the Licensed Program shall be effective from the Installation Date or Modified Installation Date as defined in Paragraph 6(e) and shall remain in force until the earlier of (a) termination of this Agreement under Paragraph 13(e), or (b) the date when written notice by Customer of its intention to terminate this Agreement is received by Developer or such later date as Customer specifies in its written notice. Customer will purchase the License by making monthly payments. Except as expressly provided in this Agreement, Developer will not refund or prorate any License or other fees, expenses, or other charges upon termination of this Agreement for any reason. 5. Use (a) Purpose and Operation. Customer will use GuestBridge Express only for Customer’s internal business purposes. Customer will not otherwise commercially exploit or market GuestBridge Express. GuestBridge Express will not be operated, directly or indirectly, (i) by persons other than bona fide employees of Customer, (ii) in a service bureau, application service provider or similar environment. (b) Copyright Acknowledgment. Customer will not undertake to copyright, trademark or patent the Licensed Program or any portion thereof. Customer acknowledges that all or part of the Licensed Program may be copyrighted, trademarked or patented by Developer. Customer acknowledges that any act or omission by Developer will not cause nor be construed as causing GuestBridge Express or any portion thereof to be in the public domain. (c) Copies. No other right to copy GuestBridge Express in whole or in part is granted to Customer. (d) Modification. Customer will not modify the Licensed Program. 6. Obligations of the Parties (a) Single Copy. For each License purchased, Developer will provide Customer with one user account for the Licensed Program for Customer’s use. Each user account may be used on one and only one Internet session at a time. (b) Developer Not Liable. DEVELOPER’S LIABILITY IS LIMITED TO REFUND OF THE LICENSE FEE AND IN NO EVENT WILL DEVELOPER BE LIABLE TO CUSTOMER OR TO ANY THIRD PARTY FOR ANY DIRECT OR INDIRECT DAMAGES, INCLUDING WITHOUT LIMITATION INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF THE USE OR INABILITY TO USE THE LICENSED PROGRAM OR ANY EQUIPMENT PURCHASED OR LEASED FROM OR THROUGH DEVELOPER, EVEN IF DEVELOPER HAS BEEN ADVISED OF SUCH DAMAGES OR THE POSSIBILITY THEREOF. 7. Support Services (a) Monthly Customer Support. For Monthly Customers in good standing, Developer will provide Support Services as detailed in Paragraph 7(b) for the duration of this Agreement. (b) Support Services. Support Services shall include the following: (i) Telephone and Online Support. Developer personnel will be available to Customer by email to answer questions regarding the use of GuestBridge Express and to help Customer identify, verify, and resolve problems with GuestBridge Express (“Online Support”). Online Support will be made available during Developer’s normal business hours. (ii) New Releases. For each license held by Customer, Developer shall provide Customer with access to standard versions of GuestBridge Express that are commercially released by Developer after the date of purchase. All such new versions shall be subject to the terms and conditions of this Agreement. 8. Online Access Customer understands and acknowledges that GuestBridge Express is solely available for use via the Internet. Customer may also elect to use services from Developer for each Location that provides Customer with the ability to accept reservations made by Customer’s patrons via the Internet, collectively known as “Online Reservations”: Customer shall provide and install Internet access sufficient for operating GuestBridge Express and Online Reservations, and customer acknowledges that GuestBridge Express and/or Online Reservations do not include installation of or provision of such Internet access or creation of and maintenance of Customer’s website. Developer specifically disclaims any and all liability for damages; whether direct or indirect, caused by Customer’s inability to access the internet, malfunction of Customer’s website, and/or malfunction of Developer’s server. Developer will not prorate or refund any fees, expenses or other charges because of Customer’s delay in or inability to acquire, initiate or maintain Customer’s website or an adequate connection to the Internet. Developer reserves the right, from time to time and without notice, to bring services offline for the purpose of upgrading hardware, software and/or network components. Planned outages will be communicated to Customer’s registered Technical Email Contact in advance and will be performed between the hours of 6:00 AM and 8:00 AM US Central Time. 9. License Fee and Taxes (a) License Fee. Customer agrees to pay Developer for all services, products and Licenses ordered by Customer and provided by Developer, which may include but are not limited to, License Fees, Per-Use Fees, or Additional User Log-Ins as specified in the Billing section of GuestBridge Express. Customer shall pay all one-time costs upon execution of this Agreement. Monthly payments for License Fees are due on the first business day of each month. (b) Taxes. In addition to the License Fee, as defined in Paragraph 9(a), Customer shall pay all current and future state and federal taxes imposed upon this License, the possession or use of GuestBridge Express provided hereunder, excluding, however, all taxes on or measured by Developer’s revenue. 10. Termination Developer retains the right to prevent access to GuestBridge Express by Customer in the event that Customer’s account is delinquent. Customer will receive 10 days notice before access will be blocked. Notification will be sent to both the Technical and Venue Email Contacts. Delinquent or terminated Customers shall have no right to obtain any data from their GuestBridge Express database. This includes, but is not limited to; schedules, guest contact data, and past and future reservation data. If Customer fails to pay all obligations due under this Agreement within 90 days of billing date, Developer reserves the right to delete Customer’s GuestBridge Express database and all data contained therein. 11. Proprietary Rights (a) Developer’s Rights. GuestBridge Express is proprietary to and the property of Developer, and all right, title, and interest thereto remains in Developer. All right, title, and interest in all patents, copyrights, trademarks, trade secrets and other intellectual property rights in GuestBridge Express are and will remain in Developer. Customer has no rights GuestBridge Express except those expressly granted by this Agreement. (b) Ownership and Copyright of Developments. Any changes, advice, modification or evaluations of GuestBridge Express generated or proposed by Customer become the property of Developer and do not give Customer any right, title or interest in GuestBridge Express. All ideas, concepts, know-how or techniques relating to GuestBridge Express developed by either party during the course of this Agreement shall be the exclusive property of Developer. (c) Customer Security. Customer shall not sell, transfer, publish, disclose, display or otherwise make available GuestBridge Express or copies thereof in any form whatsoever, including without limitation flow charts, logic diagrams, object codes, source codes and technical documentation, to any third party without the prior written approval of Developer. Customer agrees to secure and protect GuestBridge Express and all copies thereof in a manner consistent with the maintenance of Developer’s Rights therein and to take appropriate action by instruction or agreement with Customer’s employees who are permitted access to GuestBridge Express or copies thereof to satisfy Customer’s obligations hereunder and to preserve Developer’s Rights. Customer personnel who operate GuestBridge Express shall be informed of the confidential nature of GuestBridge Express before its operation. Customer will not decompile, disassemble or reverse engineer GuestBridge Express, or attempt to do so. Except as provided in Paragraph 11(e), Developer will keep confidential all records and files of Customer to which Developer or Developer’s personnel are given access under this Agreement. (d) Notice. In order to protect Developer’s trade secret, copyright and other proprietary rights in the Licensed Program, Customer agrees to reproduce and incorporate Developer’s copyright notice and all other proprietary legends thereon in any copies of GuestBridge Express, including without limitation any partial copies, in any form. (e) Customer’s Reservation, Wait List and Guest Data. All reservation and/or wait list information and history and all guest information and history entered by Customer into GuestBridge Express belong solely to the Customer. However, Customer agrees to allow Developer to access this data for the purposes of statistical analysis. No personally identifiable information will be shared with any outside parties. All data accessed for statistical analysis by Developer will be aggregated with other Customers’ data to preserve the privacy of individual Customers and their patrons, unless Developer and Customer enter into a separate agreement for Developer to perform data analysis through different means on Customer’s data. 12. Warranty and Related Matters (a) Disclaimer. It is understood by the Customer that Developer makes no representations or warranties regarding the use of the Licensed Program. DEVELOPER MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, TO CUSTOMER OR TO ANY OTHER PERSON OR ENTITY REGARDING THE LICENSED PROGRAM, INCLUDING WITHOUT LIMITATION ANY REPRESENTATION OR WARRANTY OF THE MERCHANTABILITY, ORIGINALITY, SUITABILITY, FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE OF THE LICENSED PROGRAM. (b) Data Protection. Customer shall have the sole responsibility for adequate protection and backup of Customer’s data used in connection with GuestBridge Express. Customer shall not have any claim against Developer for lost data, re-run time, inaccurate input, work delays or lost profits resulting from the use of or inability to use GuestBridge Express. (c) Limitation of Liability. DEVELOPER’S LIABILITY TO CUSTOMER SHALL BE LIMITED TO DIRECT DAMAGES AND, EXCEPT AS PROVIDED IN THE SECTION TITLED “INDEMNIFICATION,” SHALL NOT EXCEED THE AMOUNT OF THE LICENSE FEES PAID BY CUSTOMER TO DEVELOPER HEREUNDER. IN NO EVENT WILL DEVELOPER BE LIABLE FOR INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) SUFFERED BY CUSTOMER, EVEN IF DEVELOPER HAS PREVIOUSLY BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. (d) Indemnification. Provided Developer is given prompt written notice of any claim and complete authority and information required for the defense thereof, Developer shall indemnify and hold Customer harmless from any suit or proceeding brought against Customer based on a claim that GuestBridge Express violates any existing patent, copyright, or trade secret. In the event that such a patent, copyright, or trade secret claim is brought against Customer, Developer reserves the option to procure for the Customer the right to continue to use GuestBridge Express, to replace GuestBridge Express with non-infringing software, or to terminate this Agreement. 13. Payments and Pricing (a) Agreement to Pay. Customer agrees to pay Developer for all services, products and Licenses ordered by Customer and described above. Customer shall pay all one-time costs upon execution of this Agreement, and all per-use and monthly costs upon billing date. Developer retains the right to prevent access to GuestBridge Express by Customer in the event that Customer’s credit card is declined for payment. Customer shall have the right to provide another form of payment within 10 days from the decline date before Developer shall prevent access to GuestBridge Express. If Customer fails to pay all obligations due under this Agreement within 90 days of billing date, Developer reserves the right to delete Customer’s GuestBridge Express database and all data contained therein. (b) Prices. Prices for GuestBridge Express are subject to change without notice. Current pricing will be displayed in the Billing area of the Administration section of GuestBridge Express. Prices stated in this Agreement are exclusive of sales and use taxes, if applicable. Customer shall pay all current and future state and federal taxes imposed upon this License, the possession or use of GuestBridge Express, Online Reservations and other services provided hereunder, excluding, however, all taxes on or measured by GuestBridge, Inc. revenue. 14. General (a) Binding Nature and Assignment. This Agreement will be binding on the parties to this Agreement and their respective successors and permitted assigns. This Agreement and the license granted hereunder may not be assigned, sublicensed or otherwise transferred in whole or in part by Customer without Developer’s prior written consent. (b) Integration of Entire Contract. This Agreement shall constitute the Entire Agreement (“Entire Agreement”) between Developer and Customer. The Entire Agreement supersedes all prior agreements concerning GuestBridge Express. There are no representations, understandings or agreements between Developer and Customer relative to the Entire Agreement that are not fully expressed herein. The Entire Agreement may be supplemented, amended, modified or changed only by a written instrument executed by both Developer and Customer. (c) Severability. If any of the provisions of this Agreement are invalid under any applicable statute or rule of law, such provisions or portions thereof are to that extent (but only to that extent) deemed omitted and the remainder of the Agreement shall remain in force and be construed so as to give effect to each Party’s intent. (d) Waiver. No delay or omission by either party to this Agreement to exercise any right or power under this Agreement will impair such right or power or be construed to be a waiver thereof. A waiver by either of the parties to this Agreement of any of the covenants to be performed by the other or any breach thereof will not be construed to be a waiver of any succeeding breach thereof or of any other covenant in contained in this Agreement. (e) Force Majeure. Each party to this Agreement will be excused from performance under this Agreement for any period and to the extent that it is prevented from performing any action pursuant to this Agreement, in whole or in part, as a result of delays beyond its reasonable control caused by the other party or by an act of God, war, civil disturbance, court order, labor dispute, third party nonperformance or other cause beyond its reasonable control, including without limitation failures or fluctuations in power, heat, light, air conditioning or telecommunications equipment. (f) Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. (g) Effective Date. This Agreement shall be effective as of the date the Customer accepts this Agreement by clicking “I Accept the License Agreement” as part of the GuestBridge Express sign-up process.
